6.4 Music Copyright & Commercial Use

Commercial Use Authorization

Users who generate music using McRock's AI music generation service retain the right to use, distribute, and monetize their generated music for commercial purposes, subject to the following conditions:

Permitted Commercial Uses:

- Distribute music on streaming platforms (Spotify, Apple Music, YouTube Music, etc.)

- Sell music downloads or physical copies

- License music for use in videos, films, podcasts, or other media

- Perform music publicly or in commercial venues

- Include music in commercial products or services

- Monetize music on social media platforms (YouTube, TikTok, Instagram, etc.)

Required Attribution:

Users are encouraged (but not required) to credit McRock when commercially distributing AI-generated music:

- "Music generated using McRock AI"

- "Produced with McRock"

- Or similar attribution language

Copyright Ownership:

- Users own the copyright to the creative input (prompts, lyrics, conceptual direction) provided to the AI

- Users receive a license to the AI-generated musical output

- McRock retains no ownership rights to music generated by users

- Users may register copyrights for AI-generated music in their own name, where legally permitted

Third-Party Rights & Responsibilities:

- Users are solely responsible for ensuring their use of AI-generated music does not infringe on third-party rights

- Users must obtain any necessary licenses for samples, lyrics, or other copyrighted elements they add to AI-generated music

- McRock provides no warranties regarding the originality or copyright status of AI-generated music

- Users indemnify McRock against any claims arising from their commercial use of AI-generated music

Commercial Distribution Platforms:

- Users may distribute AI-generated music through digital distribution services (DistroKid, TuneCore, CD Baby, etc.)

- Users are responsible for complying with the terms of service of distribution platforms

- Some platforms may have specific requirements or restrictions for AI-generated music

- Users should review platform policies before distributing AI-generated content

Revenue & Royalties:

- Users retain 100% of revenue generated from their AI-generated music

- McRock does not claim any royalties, publishing rights, or revenue share from commercial use

- Users are responsible for paying applicable taxes on income from AI-generated music

Creator Streaming Earnings (In-App Platform):

For music released within the McRock platform and streamed by other McRock users:

Streaming Rate:

- Fixed rate: $0.1 USD per stream

- Rate applies to all released songs streamed within the McRock app

- Rate is transparent, fixed, and not subject to variable calculations

Platform Fee Structure:

- Platform fee: 0% (zero percent)

- McRock does not take any percentage from streaming earnings

- McRock does not charge platform fees or commissions

- Transaction processing fees: Covered by McRock (artists pay nothing)

- Artists receive 100% of streaming earnings

Payout Terms:

- Minimum payout threshold: $1.00 USD

- Payout schedule: Monthly (processed on the 1st of each month)

- Payment method: Stripe (direct to bank account or debit card)

- Payment processing time: 1-3 business days after payout initiation

- Currency: USD (additional currencies may be added in the future)

Earnings Calculation:

- Total Earnings = (Number of Streams) × $0.1

- No deductions, fees, or hidden charges

- Example: 10,000 streams = $1.000.00 to artist

- Example: 100,000 streams = $10,000.00 to artist

Revenue Funding Model:

- Streaming royalties are funded by McRock subscription revenue (Premium, Creator, Super plans)

- This allows McRock to maintain 0% platform fee for creators

- Sustainable model: Subscribers support the platform, creators keep 100%

Eligibility Requirements:

- Must have Creator or Super subscription tier to release music and earn streaming royalties

- Account must be in good standing (no violations of Terms of Service)

- Must connect valid payment account through Stripe

- Must comply with all content guidelines and copyright requirements

Restrictions on Commercial Use:

- Users may not falsely claim AI-generated music was created entirely by human composers

- Users may not resell or redistribute the AI generation service itself

- Users may not use AI-generated music for illegal purposes or to promote harmful activities

- Users must comply with all applicable laws and regulations in their jurisdiction

6.5 AI-Generated Content Legal Compliance & International Law

6.5.1 Compliance with Evolving AI Regulations

International Legal Framework:

McRock and all AI-generated content provided through the Service are subject to international, federal, state, and local laws governing artificial intelligence, intellectual property, and digital content, including but not limited to:

- United States: Copyright Act (17 U.S.C.), AI Executive Orders, FTC regulations

- European Union: AI Act (Regulation (EU) 2024/1689), DSA, GDPR, Copyright Directive

- United Kingdom: AI Regulation Framework, Copyright, Designs and Patents Act

- International Treaties: WIPO Copyright Treaty, Berne Convention, TRIPS Agreement

- Emerging AI Laws: Country-specific AI regulations as they are enacted

Current Legal Status:

As of December 2025:

- AI-generated music is legally permitted for commercial use in most jurisdictions

- Users retain ownership rights to their creative input and generated outputs

- No current restrictions on AI music distribution or monetization

- Suno AI and OpenAI comply with applicable copyright and AI laws

Subject to Change:

- AI laws are rapidly evolving worldwide

- New regulations may impose restrictions on AI-generated content

- Copyright frameworks for AI outputs may be redefined

- Commercial use rights may be affected by future legislation

McRock's Commitment:

McRock commits to:

1. Monitor international AI and copyright law developments continuously

2. Comply with all applicable laws and regulations immediately upon enactment

3. Adapt the Service to meet new legal requirements without delay

4. Notify users of significant legal changes affecting their rights or usage

5. Cooperate with regulatory authorities and legal investigations

6.5.2 User Acknowledgment & Agreement

By Using McRock, You Acknowledge and Agree:

Legal Changes:

- AI laws are evolving and may change without notice

- New regulations may affect your ability to use, distribute, or monetize AI-generated music

- McRock is not responsible for legal changes imposed by governments or regulatory bodies

Service Modifications:

- McRock may modify, restrict, or discontinue features to comply with new laws

- Changes may occur immediately if required by law or regulation

- No advance notice may be possible for emergency legal compliance

User Responsibilities:

- You are responsible for complying with AI and copyright laws in your jurisdiction

- You must stay informed about legal changes affecting AI-generated content

- You may not hold McRock liable for your failure to comply with applicable laws

No Legal Advice:

- McRock does not provide legal advice regarding AI content or copyright

- You should consult a lawyer if you have questions about legal compliance

- Our terms are not a substitute for professional legal counsel

6.5.3 Refund Policy

McRock generally does not provide refunds for subscriptions.

Exceptional Refund Cases ONLY:

Refunds will ONLY be provided in these exceptional circumstances:

1. Complete AI Music Generation Service Stoppage

- If our AI music generation service becomes completely unavailable for all users and cannot be restored

2. Complete Music Streaming Service Stoppage

- If our music streaming service becomes completely unavailable for all users and cannot be restored

Refund Calculation:

If one of the above exceptional cases occurs, refunds will be calculated on a pro-rated basis for the remaining subscription period only:

What is NOT Refundable:

You are NOT eligible for a refund for:

- Change of mind after purchase

- Minor service modifications or feature updates

- Temporary service disruptions or scheduled maintenance

- User violations of Terms of Service

- Technical issues on user's device or internet connection

- Dissatisfaction with AI-generated music quality

- Regional content restrictions or geographic limitations

- Third-party platform restrictions (App Store, payment processors)

- Price changes or subscription tier modifications

- UI/UX updates or design changes

- Removal of non-core features

- Legal compliance changes required by law

Important Refund Notes:

- These are exceptional cases only. Refunds are not part of our standard policy.

- Refund requests must be submitted within 30 days of the qualifying event

- All refund decisions are final and at McRock's sole discretion

- Refunds are processed to the original payment method within 14-21 business days

- Once a refund is issued, your subscription will be immediately terminated

- You cannot reuse the service after receiving a refund without purchasing a new subscription

If you believe you qualify for an exceptional refund:

6.6 AI-Generated Content Disclaimer and User Responsibility

6.6.1 Nature of AI-Generated Music

McRock uses artificial intelligence to generate music based on user prompts and preferences. Our AI models are trained on large-scale collections of existing musical works, as is standard practice in the AI music generation industry.

Important Reality:

AI-generated music may bear similarities to existing songs, musical patterns, melodies, or compositions created by third-party artists or music writers.

We cannot guarantee that AI-generated content is entirely unique or free from similarities to pre-existing works.

This limitation is inherent to ALL AI music generation services and is not unique to McRock. It is a known industry-wide reality.

Why This Happens:

- AI learns from existing music to understand patterns, harmony, rhythm, and melody

- Similar musical structures are common across different songs

- Certain chord progressions, melodies, and rhythms are widely used in music

- AI cannot know every song ever created to avoid all similarities

6.6.2 McRock's Non-Liability for Third-Party Disputes

McRock is NOT responsible for and shall NOT be held liable for any legal disputes, claims, or proceedings between:

- McRock users and third-party music writers

- McRock users and third-party copyright holders

- McRock users and other individuals or entities claiming rights to similar musical works

- McRock users and other McRock users regarding content similarities

This includes, but is not limited to:

- Copyright infringement claims

- Plagiarism allegations

- Intellectual property disputes

- Claims of musical similarity or derivative works

- Any legal actions arising from the use, distribution, or commercialization of AI-generated music

- Disputes over melody, harmony, rhythm, or lyrical similarities

- Third-party DMCA takedown notices or cease-and-desist letters

- Claims from music publishers, record labels, or performing rights organizations

6.6.3 User Responsibility and Indemnification

By using McRock's AI music generation service, you acknowledge and agree that:

You Accept Full Responsibility:

1. You are solely responsible for how you use, distribute, or commercialize AI-generated music

2. You understand that AI-generated music may have similarities to existing songs

3. You accept the risk that third parties may claim your AI-generated music is similar to their works

4. You cannot hold McRock liable for any disputes, claims, or legal actions from third parties

You Must Conduct Due Diligence:

1. Before commercial use, you should research whether AI-generated music is similar to existing works

2. You should consult a lawyer if you plan to monetize or distribute AI-generated music commercially

3. You are responsible for obtaining any necessary licenses or clearances

4. You understand that McRock does not provide legal advice or copyright clearance services

You Indemnify and Hold Harmless McRock:

You agree to indemnify, defend, and hold harmless McRock, its officers, directors, employees, affiliates, and agents from ANY claims, damages, losses, expenses (including legal fees), or liabilities arising from:

- Your use of AI-generated music

- Disputes with third parties regarding similarities to their works

- Any commercial exploitation or distribution of AI-generated content

- Allegations of copyright infringement, plagiarism, or IP violations related to your use of the service

- Claims from music writers, publishers, labels, or other rights holders

- Any legal proceedings, DMCA notices, or cease-and-desist letters you receive

- Your failure to comply with applicable laws or third-party rights

What This Means:

- If someone sues you for using AI-generated music, you CANNOT sue McRock

- If someone claims your AI song is similar to theirs, McRock is NOT involved in that dispute

- You must pay for your own legal defense and any damages awarded against you

- You must reimburse McRock if we are dragged into your legal dispute

6.6.4 Realistic Expectations for AI Music

Important: Similarity is Common and Expected

Because AI is trained on existing music:

- Chord progressions may match common patterns used in thousands of songs

- Melodic structures may resemble popular music styles

- Rhythmic patterns may align with genre-standard drumming and percussion

- Song structures (verse-chorus-bridge) are universal in modern music

- Instrumental arrangements may follow common practices in music production

This does NOT mean copyright infringement has occurred.

Legal Reality:

- Copyright protects specific expression, not general musical ideas

- Many songs share similar chord progressions without violating copyright

- Musical similarity alone does not prove plagiarism or copyright violation

- Courts require substantial similarity in protected expression, not just style or genre

McRock's Position:

- We believe our AI-generated music is legally compliant

- Similarity is expected and does not equal infringement

- Users must assess risk for their specific commercial use cases

- McRock is not liable for third-party claims regardless of their merits

6.6.5 Content Moderation and User Reports

While McRock is NOT liable for similarities between AI-generated content and existing works, we provide the following user-driven safety features:

Block/Report System:

- Users can report content they believe violates rights or is inappropriate

- Report categories: Spam, Offensive, Copyright Violation, Violence, Harassment

Admin Moderation Dashboard:

- Our team reviews reported content and takes appropriate action

- Violating content can be removed or restricted

Community Guidelines:

- We maintain community standards for respectful, lawful use

- Repeat violators may have accounts suspended or terminated

Important Clarification:

These moderation tools address:

- Harmful, offensive, or explicitly infringing content (e.g., verbatim copies, explicit lyrics)

- User misconduct, spam, or harassment

- Content that violates our Community Guidelines

These moderation tools do NOT address:

- Musical similarities inherent to AI generation

- Third-party claims of similarity (these are between you and the third party)

- General AI music characteristics or style similarities

6.6.6 No Warranty on AI-Generated Content

McRock provides AI music generation services "AS-IS" without warranties regarding:

- Originality or uniqueness of generated music

- Freedom from similarities to existing works

- Suitability for commercial use without additional clearances

- Compliance with third-party intellectual property rights

- Legal defensibility in copyright disputes

- Merchantability or fitness for a particular purpose

YOU USE AI-GENERATED MUSIC AT YOUR OWN RISK.

6.6.7 Examples of User Responsibility

Scenario 1: User Generates Song for Personal Use

- You generate a song using McRock AI

- You listen to it privately or share with friends

- No commercial distribution

- Low Risk - Acceptable use under Terms

Scenario 2: User Releases Song on Streaming Platforms

- You generate a song using McRock AI

- You distribute it commercially on streaming services

- A third-party music writer claims similarity to their song

- They send you a cease-and-desist letter or sue you

- McRock is NOT liable - This is YOUR legal dispute

- You must handle it - Legal fees, settlement, or court defense

Scenario 3: User Monetizes on Video Platforms

- You generate a song and upload to video platforms with ads

- Platform Content ID flags your song as matching another work

- Copyright holder claims revenue or requests takedown

- McRock is NOT involved - This is between you and the platform/copyright holder

- You must resolve it - Dispute, appeal, or accept claim

Scenario 4: User Creates Album for Sale

- You generate 10 songs and create an album for sale

- A music publisher sends DMCA takedown notice claiming infringement

- They threaten legal action for damages

- McRock is NOT responsible - You accepted this risk in Terms

- You must defend yourself - Hire a lawyer, settle, or fight in court

- If you lose, you cannot sue McRock or demand reimbursement

6.6.8 Disclaimer Summary

CRITICAL: By using McRock, you understand and accept:

1. AI music may be similar to existing songs (this is normal)

2. Third parties may claim your AI music infringes their rights

3. McRock is NOT responsible for any disputes between you and third parties

4. You cannot sue McRock or hold us liable for your legal issues

5. You must pay for your own legal defense and any damages

6. You must reimburse McRock if we are forced to defend legal claims arising from your use

7. You waive any right to claim damages from McRock for AI similarity issues

The McRock name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Differson LLC or its affiliates or licensors. You must not use such marks without the prior written permission of Differson LLC.

9. Service Availability & Modifications

McRock reserves the right to:

- Modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice

- Change subscription pricing with 30 days' advance notice

- Your access to or use of or inability to access or use the Service

- Any conduct or content of any third party on the Service

- Any content obtained from the Service

- Unauthorized access, use, or alteration of your transmissions or content

- AI-generated music similarities to existing works or third-party copyright claims

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO MCROCK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless Differson LLC, McRock, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

- Your violation of these Terms of Service

- Your use of the Service, including but not limited to your User Content

- Your commercial use or distribution of AI-generated music

- Any third-party claims related to AI-generated music you created using the Service

- Your violation of any law or the rights of a third party

12. Termination & Account Suspension

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

- Your right to use the Service will immediately cease

- You will lose access to your account and all associated data

- Downloaded music files may remain on your device, but you may not generate new music

- No refunds will be provided except as specified in Section 6.5.3

You may terminate your account at any time by contacting contact@differson.net or canceling your subscription through your account settings.

13. Dispute Resolution & Arbitration

Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Informal Resolution:

Before filing a claim, you agree to contact us at jinashim@differson.net to attempt to resolve the dispute informally.

Binding Arbitration:

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, United States.

Class Action Waiver:

You agree that any arbitration or proceeding shall be limited to the dispute between you and McRock individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions:

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights.

14. Miscellaneous

Entire Agreement:

These Terms constitute the entire agreement between you and McRock regarding the Service and supersede all prior agreements and understandings.

Severability:

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver:

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment:

You may not assign or transfer these Terms or your account without our prior written consent. McRock may assign these Terms without restriction.

Force Majeure:

McRock shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, or third-party service failures (including Suno AI or OpenAI outages).
